3. Client Responsibilities

As a client of Drawbridge Marketing, you agree to:

• Provide accurate and complete business information
• Grant necessary access to your Google Business Profile and other relevant accounts
• Respond to communications in a timely manner
• Not engage in practices that violate Google's Terms of Service
• Pay for services as agreed in your service agreement
• Notify us of any changes to your business information

4. Payment Terms

Unless otherwise specified in a separate agreement:

• Services are billed on a monthly basis
• Payment is due upon receipt of invoice
• We accept major credit cards and ACH payments
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated

5. Service Delivery and Results

While we strive to achieve the best possible results for our clients, please understand:

• Search engine rankings depend on many factors beyond our control
• We do not guarantee specific ranking positions
• Results typically take 60-90 days to materialize
• Google may change its algorithms at any time
• Past performance does not guarantee future results

We commit to using industry best practices and ethical SEO techniques to optimize your online presence.

6. Intellectual Property

All content on the Drawbridge Marketing website, including text, graphics, logos, and software, is our property or the property of our licensors and is protected by intellectual property laws.

Content created specifically for your business as part of our services becomes your property upon full payment, unless otherwise specified in your service agreement.

7. Confidentiality

We treat all client information as confidential. We will not disclose your business information, strategies, or data to third parties except as required to perform our services or as required by law.

8. Termination

Either party may terminate services:

• With 30 days written notice for month-to-month agreements
• Immediately for material breach of these terms
• As specified in any separate service agreement

Upon termination, we will provide you with access to any work completed and transition assistance as reasonable.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid for services in the preceding 12 months
• We are not responsible for changes to third-party platforms (including Google) that may affect your rankings
• We are not liable for any loss of business, profits, or data

10. Indemnification

You agree to indemnify and hold harmless Drawbridge Marketing from any claims, damages, or expenses arising from your breach of these terms, your violation of any law, or your violation of any rights of a third party.

11. Acceptable Use

You agree not to use our services for:

• Any unlawful purpose or to violate any laws
• Spamming, phishing, or other deceptive practices
• Violating Google's Terms of Service or guidelines
• Creating fake reviews or misleading content
• Any activity that could damage our reputation

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Pierce County, Washington, in accordance with the rules of the American Arbitration Association.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
